Single Sign-on Supplementary Terms and Conditions

Effective date: 1 January 2023

By submitting this form to enable the Single Sign-On (“SSO”) authentication feature for access to the Join software services (“Join Platform”), you agree to the following supplemental terms and conditions in addition to the Terms of Use and/or any General Terms associated with your current customer Order Form (collectively, the “SSO Terms”).

  1. You acknowledge and agree that SSO allows your company users to authenticate to Join through your third-party identity provider ("SSO Identity Provider") and the services they provide (“SSO Service”). You understand and expressly agree that your Join Platform users will no longer be able to log in with their current Join Platform passwords.
  2. Your use of SSO is limited to integration with only one SSO Identity Provider and you acknowledge that you may be required to sign up or log in to the SSO Service of such SSO Identity Provider on its respective website or application before using the Join Platform. Furthermore, you are responsible for notification to your users on the methodology and processes required to facilitate their use of the SSO Service with the Join Platform.
  3. Further to Section 14 of the Terms of Use, you understand that you are responsible for maintaining the confidentiality of passwords and user accounts, including the setting up of SSO and its configuration with the Join Platform. You also represent that you have the requisite expertise to evaluate the suitability of SSO for your business purposes and have the skills and judgment to enable and maintain SSO in accordance with and subject to these SSO Terms. Join will not be liable if you set up SSO and an unauthorized person gets access to any confidential data as a result of, or in connection with, the SSO integration with the Join Platform.
  4. By enabling SSO through your SSO Identity Provider, you consent to Join providing certain information to the SSO Identity Provider and grant Join permission to access or otherwise process such information as described by the SSO Identity Provider documentation for such purposes. Join does not endorse, is not liable for, and makes no representations as to the manner in which the SSO Provider uses, stores, or processes your data, nor is it liable for any damage or loss arising from or in connection with your enablement of the SSO Service to the Join Platform. Join is not responsible or liable for any changes to or deletion of your data as a result of, or in connection with, the integration with the SSO Service.
  5. The availability of SSO to your users may depend on the availability of the SSO Service and its features and functionality. You understand and agree that Join does not control these services and that they may change without notice to you or Join. If any SSO Service stops providing access to some or all of certain features or functionality, Join may, at its sole discretion, stop providing access to the SSO Identity Provider and their SSO Service and Join will not be liable to you for any refunds or any damage or loss arising from or in connection with any such changes made by the SSO Service.
  6. Join reserves the right to change the available SSO Identity Provider(s) at any time during your use of the Join Platform and/or to revoke SSO in accordance with Section 15 of the Terms of Use. In such case, you will be notified with a thirty (30) day notice prior unless such change is necessary to prevent imminent harm to you, Join, or the Join Platform. You understand and agree that, if you switch off SSO for any reason, or Join no longer provides SSO for your SSO Identity Provider, then your users will be required to set up authentication with a Join Platform password.
  7. You are responsible for the management and maintenance of any security certificates required by the SSO Identity Provider for the SSO Service. Join should be contacted at support@join.build regarding any changes related to (a) certificate renewals; (b) a change in SSO Identity Provider; or (c) any pending changes in the SSO Service at least seven (7) business days prior to the pending event to ensure uninterrupted service. Join is not liable nor responsible for any loss of access to the Join Platform due to the expiry of certificates or the SSO Service.
  8. In case of any discrepancies between the Terms of Use and these SSO Terms, the provisions of these SSO Terms shall prevail. Any disputes arising out of or in connection with these SSO Terms shall be adjudicated in accordance with Section 18 of the Terms of Use.
